Statement of Work for lnterstage BPM Consulting

For UBS

This Statement of Work ("SOW") is a supplement to the Software License and Maintenance Agreement dated _____________ ("Agreement") between UBS ("Custome/') and Fujitsu America, lnc. ("Fujitsu") and is fully incorporated by reference therein as of___________. ("Effective Date").

1. PURPOSE/SCOPE

Pursuant to the terms of the Agreement and this SOW, Fujitsu shall provide the services requested by Customer and outlined in Section 2, below ("Services"). Customer may request services not covered herein of Fujitsu by the addition of mutually agreed upon amendments describing the work iequested and the pricing for such work.

2. DESCRIPTION OF SERVICES

This SOW is intended to cover Professional Services for lnterstage BPM Technical Consulting. Customer shall retain Fujitsu to provide consulting servics to assist Customer in connection with Customer's business operations.

SCOPE OF WORK

Consulting services: Fujitsu will provide consulting services for:

  • An IMAP listener –a standard email listener for Interstage BPM release 11.2 that makes use of the standard IMAP protocol in order to pick up email messages.  Received email messages will have the same possibilities for processing that email messages received through the POP based email listener has today.
  • Implementing a fully functional BPM application.
  • Migrating current system to BPM 11.x
  • Producing code and process deliverables unless otherwise specified.
  • No additional capabilities within the email message

NOT IN SCOPE

ASSUMPTIONS

The following assumptions are made in connection with this Statement of Work:

  • UBS will provide appropriate level of resources for this engagement.
  • UBS is not expecting to complete the migration of existing applications mentioned and/or resolve all issues by the end of consulting period.

3. FUJITSU RESPONSIBITITIES

Fujitsu will provide resources required to complete the Services described herein:

  • Fujitsu will develop a code module suitable for use in an Interstage BPM environment that will pick up email.

4. CUSTOMER RESPONSIBITITIES

The Customer is required to carry out reasonable actions in accordance with the procedures provided by Fujitsu for:

Test the delivered module and verify that it works with the specific mail system used by UBS.  The module will be fully tested against standard IMAP providers, but this is just an additional test against the specific IMAP provider that UBS uses.
